What the report is

The annual report is your company’s yearly renewal with the state

Each year it confirms the details the state has on file for your company, and filing it keeps your company active. Nothing about revenue or taxes goes on it.

What you confirm or update
  • Principal office and mailing addresses
  • Managers and authorized members
  • Registered agent and registered office
  • Federal EIN
Not on the report: your company’s name. Changing it takes a $25 amendment, which we also file.

Missed the deadline?

If you missed the deadline, or the state closed your company

Our fee is $150 for a late report and $150 to reopen a closed company. The state holds a closed company’s name for one year; after that, anyone can take it.

$377.50

While it is closed, the company may only wind up its business, and after a year another business can take its name. Reopening in 2027 after missing 2026 costs $100 plus $138.75 for each year’s report.

Questions owners ask

Common questions about the annual report

My company was formed this year. Is a report due this year?

No. The first report is due by May 1 of the year after formation. Formed in 2026, first report by May 1, 2027.

Will the state remind me?

By email only, sent to the address the state has on file for your company. If that email is out of date, no reminder arrives.

Hand us this year’s report

Confirm what the state has on file and pay for the year. We file before May 1, and if we file late, we pay the $400.
