We prepare your LLC’s operating agreement
An operating agreement sets out who owns your LLC and how it is run. If you own and make key decisions for your business, we can prepare an operating agreement using your company’s details and keep it as part of your company’s business records.
Do Florida LLCs require an operating agreement?
No, Florida law does not require companies to have operating agreements. However, without one, your company will operate under the default statutory rules of Chapter 605, Florida Statutes. Also, most banks will require a copy of your operating agreement to confirm ownership and management.
What an operating agreement does for your LLC
Sets out ownership
It records each owner’s share and how profits are paid out.
Decides who runs the company
It says whether the company will be run by its owners or by one or more managers.
Backs up the company’s records
Banks often ask for it when you open an account, along with your EIN. A signed agreement shows the LLC is run as its own company.

Common questions about Florida operating agreements
Can I write my own operating agreement?
Yes. Florida has no required form, and free templates exist. A template is a starting point; ours is prepared from your company’s details and kept with your records.
Can I change it later?
Yes. The agreement itself says how it can be changed. The new version goes into your business records.
